1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "We / Us / Our / Lestari" means Lestari, a business consulting practice registered in Malaysia, with its principal office at No. 9, Lebuh Light, 10200 George Town, Pulau Pinang.
- "You / User / Client" means any person who accesses our website or engages our consulting services.
- "Services" means the consulting engagements offered by Lestari, including Finding North, Steady Course Review, and Compass Partnership.
- "Agreement" means these Terms and Conditions together with any engagement letter or written scope agreed between us.
- "Website" means the site operated by Lestari at lestarimy.cyou.
2. Acceptance of Terms
By accessing our website or submitting an enquiry, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use our website or engage our services.
You confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a business, you confirm you are authorised to bind that business to these terms.
3. Description of Services
Lestari provides business consulting services to small business owners, primarily in Malaysia. Our current service offerings are:
- Finding North (RM 700): A single engagement including one working session, a direction note, and a short follow-up.
- Steady Course Review (RM 1,700): A four-week engagement with two sessions, a written roadmap, progress markers, and a follow-up conversation.
- Compass Partnership (RM 3,360): A six-month advisory relationship with monthly sessions, quarterly reviews, and between-session access.
Services are delivered in English and Bahasa Malaysia. Sessions are conducted in person at our George Town office or via video call, as agreed. Service availability is subject to our schedule and capacity.
4. Client Responsibilities
To allow us to deliver our services effectively, you agree to:
- Provide accurate and complete information about your business situation when requested
- Attend scheduled sessions at the agreed time or provide reasonable notice if you need to reschedule
- Engage with the work in good faith and implement agreed steps where you have committed to doing so
- Not share confidential information belonging to third parties without their permission
- Use our website and communications lawfully and not for any fraudulent or harmful purpose
5. Intellectual Property
All content on our website — including text, design, and structure — is the property of Lestari and may not be reproduced without our written permission.
Written outputs produced for you during a consulting engagement (direction notes, roadmaps, session summaries) are provided for your personal business use. You may not reproduce or distribute these materials commercially without our prior consent.
Our general methodologies and frameworks remain our intellectual property regardless of any engagement. We grant you a limited, non-exclusive licence to use the written outputs we produce for you for the purpose of running your business.
6. Payment
All fees are quoted and invoiced in Malaysian Ringgit (MYR). Payment is due prior to commencement of an engagement unless otherwise agreed in writing. We accept bank transfer and online payment via methods communicated at the time of invoicing.
Cancellation and refund policy: If you cancel an engagement more than five working days before the first session, we will refund any fees paid in full. Cancellations within five working days of the first session are subject to a 25% cancellation fee. Once a session has taken place, no refund is available for that session.
Rescheduling requests made more than 48 hours before a session will be accommodated without charge. We understand that business circumstances change, and we approach scheduling with reasonable flexibility.
7. Consulting Engagement Terms
The scope of each engagement is agreed in writing before the work begins. If your situation changes significantly during an engagement and you wish to adjust the focus, please raise this with your advisor. Scope changes that require additional sessions will be discussed and priced separately.
Confidentiality: We treat all information about your business as strictly confidential. We will not share your details with any third party except as required by law or with your explicit consent.
Written outputs: Direction notes, roadmaps, and session summaries will be delivered within the timeframes stated at the time of engagement. Delivery is subject to your providing the information we need to complete them.
8. Disclaimers
Our consulting services are provided in good faith based on the information you share with us and our professional judgement. We do not warrant that any specific outcome or financial result will be achieved as a result of our work together.
Business consulting is not a substitute for legal, financial, accounting, or other professional advice where those specialisms are required. We will indicate where we believe specialist advice is appropriate.
Our website is provided on an "as available" basis. We do not warrant that the site will be uninterrupted or error-free.
9. Limitation of Liability
To the fullest extent permitted by Malaysian law, Lestari's total liability to you for any claim arising from our services shall not exceed the fees paid by you for the engagement to which the claim relates.
We shall not be liable for any indirect, consequential, or economic loss, loss of profits, or business decisions made in reliance on our advice. We are not responsible for circumstances beyond our reasonable control (force majeure).
10. Indemnification
You agree to indemnify and hold harmless Lestari and its team members from any claims, losses, or expenses arising from your breach of these Terms, your misuse of our services, or your provision of inaccurate or misleading information during an engagement.
11. Termination
Either party may terminate a consulting engagement by providing written notice. In the event of termination by you, fees already paid for sessions that have taken place are non-refundable. We will refund fees paid for sessions not yet delivered.
We reserve the right to terminate an engagement if a client acts in a manner that we consider harmful, dishonest, or incompatible with a productive working relationship. In such cases, we will refund fees for undelivered sessions.
Obligations relating to confidentiality, intellectual property, and payment survive termination.
12. Dispute Resolution
These Terms are governed by the laws of Malaysia. In the event of a dispute, we encourage you to contact us directly at [email protected] to seek an informal resolution before initiating any formal process.
If an informal resolution is not reached, disputes shall be subject to the jurisdiction of the courts of Penang, Malaysia. Parties may also agree to mediation through the Malaysian Mediation Centre as an alternative.
13. General
These Terms, together with any engagement letter, constitute the entire agreement between us regarding our services. If any provision is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision does not waive our right to do so in the future. These Terms may not be assigned by you without our written consent.
14. Changes to These Terms
We may update these Terms from time to time. Changes are effective from the date shown in the "Last Updated" field above. For active engagements, material changes will be communicated directly. Continued use of our website or services after changes take effect constitutes acceptance of the revised Terms.
